AlphaTON Capital Acquires 60% of GAMEE, Adding 119 Million Users to Telegram
A Nasdaq-listed company just paid $18M for 60% of a gaming platform with 10 billion gameplay sessions — and 61 million of its users are already inside Telegram.

GAMEE logged more than 10 billion gameplay sessions before most people had heard of it. Now, the mobile gaming platform that quietly built one of the largest user bases in web3 has a new controlling shareholder, and the deal's price tag tells an interesting story about where gaming money is flowing.
AlphaTON Capital Corp. (Nasdaq: ATON) announced March 19 that it entered a definitive agreement to acquire a 60% controlling interest in GAMEE from Animoca Brands, valuing the company at $18 million. The purchase price reaches up to $11 million, structured across an upfront payment and a two-year performance earn-out. At closing, AlphaTON pays $1.5 million in cash and approximately $2 million in shares and warrants, and within 90 days will acquire $2 million worth of GAMEE's GMEE token on the open market.
The earn-out adds teeth to the deal's ambition: an additional $3.5 million becomes payable in year one if GAMEE hits $1.2 million EBITDA, and up to $4 million more in year two against a $1.6 million EBITDA target, both split between cash and ATON shares.
What AlphaTON is really buying is distribution. GAMEE claims 119 million registered users, 61 million of whom already live inside the Telegram ecosystem. The platform posted estimated revenues of $3.5 million in 2025 on a three-year compound annual growth rate of 112%. AlphaTON, which describes itself as a public technology company dedicated to scaling the Telegram super-app ecosystem, frames that 61 million Telegram footprint against a total addressable audience of approximately one billion Telegram users — a distribution advantage that management claims is unmatched among publicly traded digital asset companies.
"By bringing GAMEE's 119 million users and deep Telegram integration under our umbrella, we are not just acquiring a gaming platform, we are capturing a massive, active gateway to the next billion Web3 users," said Brittany Kaiser, CEO of AlphaTON Capital. "Our alliance with Animoca Brands further solidifies our position as the primary engine scaling the Telegram super-app ecosystem. We are ready to leverage our operational expertise to drive GAMEE's EBITDA growth and deliver long-term value to our shareholders."
GAMEE founder Bozena Rezab framed the deal around ownership rather than entertainment. "Our mission has always been to onboard the masses to web3 through the power of play," she said. "By deepening our synergy with AlphaTON Capital, we are not just providing entertainment; we are giving our 119 million players true digital ownership and a gateway into a broader, interconnected ecosystem. This next phase is about turning players into stakeholders."

Alongside the acquisition, AlphaTON and Animoca Brands formalized a Strategic Alliance to pursue commercial opportunities across blockchain and social gaming. Animoca also signed a two-year standstill agreement preventing it from acquiring a controlling position in AlphaTON Capital. AlphaTON will assume day-to-day management of GAMEE upon closing.
The March announcement follows a reported October 2025 transaction in which AlphaTON acquired a 51% majority stake in GAMEE, though the official press release describes GAMEE as a wholly owned Animoca subsidiary at the time of the March agreement — a sequencing detail worth watching in subsequent filings.
